Trading of the Grupo SURA shares has been suspended in order to implement the Spin-offs

Relevant information

Grupo de Inversiones Suramericana S.A. (hereinafter “Grupo SURA” or the ‘Company’) hereby reports on the most significant activities carried out to date with regard to implementing the Partial Spin-offs [1] by absorption of Grupo SURA, Grupo Argos S.A. (“Grupo Argos”) and Cementos Argos S.A. (“Cementos”), as a result of the corresponding authorization as issued by the Colombian Superintendency of Finance, and reported to the market on June 27, 2025.  

Following the implementation of the Cementos Spin-Off[2], the corresponding activities have begun for the Argos Spin-Off and the SURA Spin-Off, which shall take place in a substantially simultaneous manner.

Consequently this entails suspending the trading of the SURA's shares, for which purpose the Company has requested the Colombian Stock Exchange to suspend both the market and non-market trades of its ordinary (GRUPOSURA) and preferred (PFGRUPSURA) shares. This suspension shall come into full force and effect as of July 21, 2025 and last until the date on which the corresponding book entries for the Argos Spin-Off and the SURA Spin-Off are duly carried out.

This suspension is necessary in order to determine which of the Grupo SURA shareholders shall be entitled to receive Grupo Argos shares, as well as in order to perform the corresponding book entries in connection with the Argos Spin-Off and the SURA Spin-Off. Shareholders who shall be entitled to receive these shares shall be those appearing in Grupo SURA's shareholder ledger as of July 22 (the Cut-Off Date[3]).

The progress  that has been made so far with these implementation activities is shown in the diagram below:

 

The implementation of this operation does not require any particular action on the part of the shareholders of both Grupo SURA and Grupo Argos.
